1. Who's in this agreement
These Terms are an agreement between you ("you", "the customer") and Evernote Migration ("we", "us", "our"). They apply the moment you place an order. By paying through our checkout, you confirm you have read and accepted these Terms and the Privacy Policy.
2. What we do
We convert an Evernote .enex export file that you supply into the destination format you
choose at checkout (Obsidian, Notion, Apple Notes, Joplin, or another supported destination). Tier
inclusions, delivery windows, and prices are listed on our pricing page and fixed at the moment of purchase.
3. Pricing and payment
- Prices are fixed per tier as published on the pricing page at the time of order.
- Payment is processed by Stripe. All prices are in US dollars unless otherwise noted at checkout.
- For archives exceeding our largest tier's stated capacity, a custom quote is provided in writing before any work begins.
- You are responsible for any local sales tax, VAT, or GST that applies in your jurisdiction.
4. Delivery windows
Delivery windows begin once we have received your .enex upload — not from the time of payment.
The standard windows are:
- Standard — within 72 hours of upload.
- Priority — within 24 hours of upload.
- Concierge — within 24 hours of upload, plus the additional manual-QA and post-delivery support included in that tier.
If we miss the delivery window for reasons within our control, we refund the difference between your tier and the next-lower tier within 5 business days, in addition to delivering your migration. If we cannot deliver at all for reasons within our control, we issue a full refund.
5. Customer responsibilities
- You will supply a valid
.enexfile exported from Evernote. - You will respond to reasonable clarifying questions within 48 hours so we can hit your delivery window. (Delivery windows pause while we wait on a response from you.)
- For destinations that require temporary collaborator access — such as Notion, OneNote shared notebooks, or Google Drive — you will grant the access needed to complete delivery, and revoke it once you've confirmed receipt.
- You confirm you have the legal right to migrate the data you submit to us, including any data that originated with third parties or your employer.
6. Quality, re-work, and refunds
- Every delivery includes a verification report describing what was processed.
- If specific notes, notebooks, or attachments are missing or incorrectly converted due to error on our side, we re-process the affected portion at no additional cost.
- If part of your archive cannot be recovered because of pre-existing corruption or unsupported content in the original Evernote export, we will identify the affected items in the verification report and issue a proportional refund.
- Refunds are issued via the original payment method within 5 business days of the refund decision.
7. Cancellation
- You may cancel for a full refund at any time before you upload your
.enexfile. - Once your file is uploaded and work has begun, refunds are at our reasonable discretion based on the work already performed. Where work cannot be completed for reasons within our control, a full refund is issued.
8. Confidentiality and data handling
Your file contents are confidential. We do not read, analyse, share, or retain your notes beyond what is required to deliver your migration. Files are deleted within 24 hours of delivery. Full details of our data-handling practices are in the Privacy Policy, which is incorporated into these Terms.
9. Intellectual property
You retain all rights, title, and interest in your notes and archive. Nothing in these Terms grants us a licence to use your content for any purpose other than fulfilling your order.
10. Limitation of liability
- We are not liable for data loss, corruption, or content that was already missing or corrupted in your original Evernote archive before you supplied it to us.
- We are not liable for any consequences of you losing access to your Evernote account or destination platform.
- To the maximum extent permitted by law, our total liability for any claim arising from a single order is limited to the amount you paid for that order.
- We are not liable for indirect, consequential, incidental, special, or punitive damages.
- Nothing in these Terms limits or excludes liability where it cannot lawfully be limited (for example, for fraud, gross negligence, or death and personal injury caused by negligence in jurisdictions where such limits are prohibited).
11. Service availability
We make reasonable efforts to keep our website and upload endpoint available, but we do not guarantee uninterrupted service. Planned maintenance or third-party outages (Stripe, Cloudflare) may temporarily affect ordering or upload — they do not affect orders that are already in progress.
12. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect any change. Material changes affecting existing orders will be notified by email. Continued use of the service after a change constitutes acceptance of the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of Victoria, Australia, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved through good-faith negotiation will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
